About These Terms
Vendorberg is a trading entity registered in Bengaluru, Karnataka, India, operating as an international MRO supplier and sourcing agent. References to “we”, “us”, or “our” mean Vendorberg. References to “you” mean the visitor, prospective customer, supplier, or counterparty.
Use of the Website
You may browse www.vendorberg.com for legitimate business purposes. You agree not to attempt to gain unauthorised access, scrape data at scale, introduce malicious code, or use the site in any way that violates Indian law or interferes with other users.
Quotations and RFQ Validity
Quotations issued by Vendorberg are valid for sixty (60) days from the date of issue unless a different validity is stated in writing on the quotation itself. After the validity expires, prices, availability, and lead times are subject to reconfirmation. A quotation is not a binding offer until both parties have exchanged a confirmed purchase order and an order acknowledgement.
Orders, Pricing and Payment
All orders are governed by the commercial terms set out in the relevant quotation and order acknowledgement. Prices are quoted exclusive of taxes, duties, and freight unless explicitly stated. Payment terms, currency, banking details, and incoterms are confirmed on a per-order basis. Late payment may attract interest at a commercially reasonable rate and suspension of pending shipments.
Delivery, Title and Risk
Delivery is performed in accordance with the agreed incoterm. Title to goods passes to the buyer upon full payment. Risk passes in accordance with the agreed incoterm. Delivery dates are estimates given in good faith and are not of the essence unless explicitly agreed in writing.
Genuine Parts and Specifications
Vendorberg supplies genuine, specification-compliant components sourced from original manufacturers, authorised distributors, or verified aftermarket channels. Where an aftermarket or equivalent part is proposed in place of OEM, this is disclosed in writing before order confirmation. Certificates of conformance are provided for critical items where applicable.
Warranties and Limitations
Goods are warranted to be as described and free from material defect at the point of delivery. Manufacturer warranties pass through to the buyer where the manufacturer permits. Our aggregate liability for any claim is limited to the invoice value of the affected goods. We are not liable for indirect, consequential, or downtime losses.
Intellectual Property
All content on www.vendorberg.com — including text, layout, logos, and trademarks — is the property of Vendorberg or its licensors. You may not copy, republish, or commercially exploit any part of it without prior written consent.
Confidentiality
Each party agrees to keep confidential any non-public commercial, technical, or pricing information shared in the course of dealings, and to use it only for the purpose for which it was shared.
Force Majeure
Neither party is liable for delay or failure caused by events outside its reasonable control, including natural disasters, acts of government, war, pandemic, port closures, or transportation breakdown.
Indemnity
You agree to indemnify Vendorberg against losses arising from your misuse of the website or material breach of these Terms.
Governing Law and Jurisdiction
These Terms are governed by the laws of India. The courts at Bengaluru, Karnataka shall have exclusive jurisdiction, subject to the arbitration clause below.
Dispute Resolution and Arbitration
Any dispute arising out of or in connection with these Terms or any transaction shall first be attempted to be resolved amicably between the parties. Failing resolution within thirty (30) days, the dispute shall be referred to arbitration under the Arbitration and Conciliation Act, 1996 (India). The seat of arbitration shall be Bengaluru, the language shall be English, and the arbitral tribunal shall consist of a sole arbitrator mutually appointed by the parties.
General
If any provision of these Terms is held unenforceable, the remaining provisions continue in effect. Vendorberg may update these Terms from time to time; the version posted on www.vendorberg.com is the version in force.
