We have a zero-tolerance approach to bribery and corruption in every market we operate in — including India, the GCC, and Africa — and in every relationship we hold, whether with public officials, private clients, or supply chain partners.

Standards We Align With

This policy reflects the principles of the UK Bribery Act 2010, the US Foreign Corrupt Practices Act (FCPA), the UN Convention Against Corruption (UNCAC), and the Indian Prevention of Corruption Act 1988.

What Is Prohibited

Vendorberg, its employees, directors, agents, contractors, and third-party representatives must never:

Gifts and Hospitality

Modest, transparent business hospitality is acceptable when it is occasional, reasonable in value, and consistent with normal commercial practice. Cash and cash-equivalent gifts (vouchers, gift cards) are never acceptable. Gifts and hospitality above the threshold defined in our internal register must be declared to senior management before being given or accepted.

Third Parties and Due Diligence

Agents, consultants, and intermediaries who act on Vendorberg’s behalf are subject to risk-based due diligence before engagement. Anti-bribery representations, audit rights, and termination triggers are included in third-party agreements. Suppliers and vendors confirm acceptance of these standards as a condition of registration.

Reporting a Concern

Anyone who suspects a breach of this policy — whether by a Vendorberg employee, a counterparty, or anyone acting in our name — is encouraged to report it. Reports can be made:

Vendorberg strictly prohibits any form of retaliation against a person who raises a concern in good faith. Failure to report a known breach is itself a disciplinary matter.

Consequences of Violation

Confirmed breaches are treated as serious matters and may result in suspension, termination of employment or engagement, recovery of losses, and referral to law enforcement or regulatory authorities.

This policy is approved by the Director and is reviewed annually. The current version is VB-ABC-001 v1.0, effective May 2025.
